Scene Booking Merchant Agreement
This Agreement ("Agreement") is entered into between Madras Infotainment Private Limited, operating as Scene ("Company"), and the undersigned Merchant, who agrees to list, host, and fulfill experiential events and activities through Scene's web and mobile platforms.
1. Purpose
Scene enables customers to discover and book experiential events and activities via its platform. This Agreement outlines the roles, responsibilities, and mutual obligations of Scene and the Merchant for the delivery of these services.
2. Duration & Renewal
This contract shall be valid for a period of 12 months from the date of onboarding. It may be renewed upon mutual agreement.
3. Responsibilities of Scene (Company)
- Scene shall render booking services via its app and website in a professional manner.
- All tickets sold are on behalf of the Merchant; Scene is a facilitator, not a producer.
- Scene will collect ticket revenue, deduct agreed Commission Fee (refer Schedule 1), and remit the balance to the Merchant within the agreed time frame.
- Scene may charge a separate booking fee to the customer.
4. Responsibilities of Merchant
- The Merchant shall honor every booking made via Scene’s platform without delay or discrimination.
- Ensure all required government approvals, licenses, and venue permissions are in place.
- Share complete event/activity details, T&Cs, and any disclaimers with Scene for platform listing.
- Immediately notify Scene of any changes, delays, or cancellations to the event/activity.
- Cooperate in good faith to resolve any consumer complaints or disputes.
- Provide a 14-day validity period for customers to redeem their bookings.
- Avoid directly negotiating or transacting with Scene customers for services listed via the platform.
5. Content Usage & Media Rights
- Merchant Content License: Merchant authorizes Scene to use their content (photos, event details, logos) for promotions.
- Influencer/Promotional Content: Any video or promotional content created by Scene remains Scene’s intellectual property. Merchants may not repost or reuse this content on their personal or business handles without prior written approval.
- Attribution: If reuse is approved, crediting Scene in the form of a tag or watermark is mandatory.
6. Payment Terms
- Scene will remit the total booking amount minus its commission to the Merchant, on a schedule agreed upon in Schedule 1.
- No separate payout shall be made for any booking directly not conducted through the Scene platform.
7. Cancellations, Postponements & Liability
- Merchant must inform Scene at least 48 hours in advance of any event changes.
- In case of event cancellation or failure to deliver, Merchant shall be solely liable for refunds and any legal implications.
- Scene reserves the right to delist the Merchant/ charge them a fine in case of repeat violations.
8. Confidentiality & Exclusivity
- Merchant shall not share internal pricing, Scene commission terms, or customer details with third parties.
- Scene reserves the right to seek damages in case of breach of confidentiality.
9. Termination
- Either party may terminate this Agreement with a 15-day written notice.
- Scene reserves the right to suspend or delist any Merchant with immediate effect in case of breach.
10. Acceptance of Terms & Digital Signature
By proceeding with event/activity listing on the Scene app or website, the Merchant confirms:
- That they have read, understood, and agreed to all clauses.
- That this digital acceptance is valid under the IT Act, 2000 (India).
To Accept:
The Merchant must click "I Accept the Terms & Conditions" within the merchant onboarding section of the Scene platform. This action shall serve as a legally binding signature.
SCHEDULE 1 – COMMISSION TERMS
- Commission on ticket value: As per agreed terms between the Company and Merchant
- Payment cycle: As per the discussion between you parties - 3 days/ 7 days/ 15 days
